Intellectual Property Rights

All Intellectual Property Rights (IPRs), including but not limited to patents, copyrights, trademarks, and trade secrets, related to WANDWALL products and inventions, have been transferred from strategic partner SEMODU AG to WANDWALL PLC. WANDWALL PLC is aided by PATEV Associates GmbH & Co. KG, having its seat at Albert-Einstein-Straße 62 a, 76228 Karlsruhe, in the application process for its patents and other IPRs. All IPRs have been identified by Dr. Ing. Edelbert Häfele, Managing Director of PATEV, and are currently valued at EUR1,475 million. Since the stamp duty requirement under Irish law, does not apply to the sale, transfer, or other disposition of IPRs nor to the value of any goodwill attaching to the IP, the transfer of IP rights from SEMODU AG to WANDWALL PLC is exempt from such requirement.

“Property” means the title to general property in goods, and not merely a special property. The following agreement shall relate to the transfer of title to property for IPRs, namely:

  • Patentable inventions as defined under Chapter II Section 9 of the Patents Act, 1992;
  • Copyright and copyright works as defined under Chapter 1 Section 17 of the Copyright and Related Rights Act, 2000;
  • Trademarks as defined under Part II Section 6 of the Trademarks Act, 1996;
  • Designs as defined under Chapter 1 Section 11 of the Industrial Designs Act, 2001;
  • Other non-specified IPRs.
